Website Access and Security. The Scotia Waterous website is divided into three distinct levels of access:
Level 1 = Public Access
This area includes all of the Overview Summaries for each of Scotia Waterous’ Current Offerings as well as all of the Scotia Waterous information pages. Anyone may access these public pages.
Level 2 = Company Login Required
This secure area includes non-confidential offering information details and downloadable Information Memorandums. Clients of Scotia Waterous are granted Company Login names and passwords in order to gain access to this area. If you have not received a Company Login name and password, you may request one through the on-line registration form.
Users are required to keep their Company Login details confidential. You may not share your Company Login details with anyone outside of your organization. If you believe that your Company Login details may have been compromised for any reason, you must contact us immediately.
Level 3 = Data Room Key Required
This is the secure Virtual Data Room area, which includes detailed confidential information pertaining to the properties within each offering. All updates to the confidential information are posted periodically within this area. To gain access to this area, your company must execute a Confidentiality Agreement for a specific offering.
When your company executes a Confidentiality Agreement, it will receive a unique Virtual Data Room Key name and Key Code. This Key will provide access to the confidential data set for the specific properties requested in the Confidentiality Agreement. The person executing the Confidentiality Agreement will be responsible for distributing the Virtual Data Room Key details to the appropriate individuals within your organization. Users are required to keep the Virtual Data Room Key details strictly confidential and will be bound by the terms of the Confidentiality Agreement. If you believe that your Virtual Data Room Key name and Key Code may have been compromised for any reason, you must contact us immediately.
Eligibility for Website Use. Companies accessing Level 2 and Level 3 information must meet the “Accredited Investor” requirements as set forth in Rule 501(a) of Regulation D of the Securities Act of 1933. Review Eligibility Terms and Conditions.
Scotia Waterous supplies Company Logins and Virtual Data Room Keys only to companies that meet these requirements. Scotia Waterous may, with or without notice and with or without cause, discontinue Level 2 or Level 3 access at any time.
Linked Internet Sites. Scotia Waterous may provide links on its site to other Internet sites as a convenience to you. The content on these linked sites may not necessarily reflect our opinion. The inclusion of any link does not imply that we recommend or endorse the linked site.
Linking to Our Website. Unless otherwise set forth in a written agreement between you and Scotia Waterous, you must adhere to Scotia Waterous’s linking policy as follows:
(i) the appearance and of the link may not be such as to damage or dilute the goodwill associated with our trademarks;
(ii) the link must point to the URL (www.scotiawaterous.com) and not to other pages within the Website;
(iii) the appearance, position and other attributes of the link may not create the false appearance that your organization or entity is sponsored by, affiliated with or associated with Scotia Waterous;
